第二部分 咨询服务期限
Part 2 Consulting Service Period

服务期限自2024年2月4日起至 2025 年2月4日止。
The service period starts from February 4 , 2024 and ends on February 4 , 2025 .

第三部分 甲方义务
Part Three Obligations of Party A

3-1 甲方应积极配合乙方工作，并提供必要的工作条件；3-2 甲方应向乙方及时提供与咨询事项有关的全部数据，并对其真实性、合法性、完整性负责；
3-1 Party A shall actively cooperate with Party B’s work and provide necessary working conditions; 3-2 Party A shall provide Party B with all data related to the consultation matters in a timely manner and shall be responsible for its authenticity, legality and completeness;

3-3 根据本协议约定，按时足额向乙方支付咨询费；
3-3 According to this agreement, pay the consulting fee to Party B in full and on time;

3-4 谨慎参考乙方提出的咨询意见，对参考使用不当造成的损失由甲方承担，与乙方无关。
3-4 Carefully refer to the consultation opinions put forward by Party B. Any losses caused by improper use of the reference shall be borne by Party A and have nothing to do with Party B.

第四部分 乙方义务
Part 4 Obligations of Party B

4-1 遵守职业道德，以高度负责的精神为甲方提供咨询服务，控制相关风险；
4-1 Observe professional ethics, provide consulting services to Party A in a highly responsible spirit, and control related risks;

4-2 保守执业中知悉的甲方商业秘密，维护甲方的合法权益；
4-2 Keep Party A’s business secrets learned during practice and safeguard Party A’s legitimate rights and interests;

4-3 对咨询业务过程中出现的风险事项，及时提出合理的应对建议；
4-3 Propose reasonable response suggestions in a timely manner for risk matters that arise during the consulting business process;

4-4 应邀参加甲方重要决策会议，发表专家咨询意见；
4-4 Be invited to participate in important decision-making meetings of Party A and issue expert opinions;

4-5 其他按照甲方的要求完成的咨询、顾问工作。
4-5 Other consulting and advisory work completed in accordance with Party A’s requirements .

第五部分 费用及支付
Part 5 Fees and Payment

5-1 甲方在本协议双方签字生效后3个自然日内向乙方支付咨询预付款人民币100万元人民币，剩余100万元在第一次间接融资签署正式协议后的 3 个工作日内支付。
5-1 Party A shall pay Party B a consulting advance payment of RMB 1 million within 3 calendar days after both parties sign this agreement and the remaining RMB 1 million shall be paid within 3 working days after the first indirect financing formal agreement is signed .

成功奖励： 间接融资总额3%；直接融资总额10%。
Success reward: 3 % of total indirect financing ; 10 % of total direct financing .

5-2 咨询费通过银行转账转入乙方如下账户：
5-2 The consulting fee shall be transferred to the following account of Party B through bank transfer:

第六部分 其他
Part 6 Others

双方同意对本协议的所有内容进行保密。双方不得向本协议以外的任何个人、企业、单位披露、泄露各自从对方（或其关联方）获得的任何保密文件、数据、信息、技术秘密或者商业秘密等保密信息。
The parties agree to keep all contents of this Agreement confidential. The parties shall not disclose or divulge any confidential documents, data, information, technical secrets or business secrets and other confidential information obtained from the other party (or its affiliates) to any individual, enterprise or unit outside this Agreement.

如因履行本协议发生争议，各方友好协商解决，协商不成的，于北京市的仲裁委员会仲裁解决。
If a dispute arises due to the performance of this agreement, the parties shall resolve it through friendly negotiation. If the negotiation fails, it shall be settled by arbitration at the Beijing Arbitration Commission.

本协议经甲、乙双方加盖公章后生效。本协议一式两份，协议双方各持一份，具有同等法律效力。
This agreement will come into effect after being stamped with the official seals of Party A and Party B. This Agreement is made in two copies, with each party holding one copy and having the same legal effect.
