6.The Vendor is selling as Mortgagee and shall only be required to enter into a covenant that it has not encumbered the Property and the concurrence of any other persons in the assurance of the Property shall not be required.The Purchaser shall assume that the events have happened entitling the Vendor to exercise its powers and that the Purchaser shall not raise any objection or requisitions in respect thereof.

7.It is expressly agreed that on or prior to the completion,the Purchaser shall not sub-sell the Property or any part thereof or otherwise to assign the benefit hereof or to enter into any agreement so to do or nominate a nominee to take up the assignment of the Property.Upon completion,the Vendor shall not be obliged to assign the Property to any person other than the Purchaser nor be required to execute more than one assignment of the Property agreed to be sold as a whole.

8.The Purchaser is deemed to have accepted the Vendor's title to the Property before the signing hereof and no requisition on title(whether or not goes to the root of title) may be raised by the Purchaser either before or after the sale and purchase and the Purchaser is deemed to have accepted the Vendor's title of the Property.

9.The Vendor shall only deliver to the Purchaser those title deeds and documents in the Vendor's possession on completion.The Purchaser waives its right to call for production of any other or further documents as proof of the Vendor's title in respect of the Property.

10.All stamp duty payable on this Agreement and the formal Agreement for Sale and Purchase(if any)and the Assignment shall be borne by the Purchaser absolutely.

11.*Vacant possession of the Property shall be given to the Purchaser upon completion.

The Vendor gives no warranty as to the amount of rent lawfully recoverable from the tenant(s),as to the effect of any legislation in relation to any tenancy or so to compliance with any legislation affecting the same.If the Tenant shall deliver up vacant possession of the Property to the Vendor before completion,the Vendor shall give and deliver vacant possession of the Property to the Purchaser on completion.
倘承租人在成交前將物業的空置管有權交予賣方,賣方亦不保證可向租客追討的租金金額、與任何租賃有關的任何法例的效力或對遵守任何影響相同的法例。

12.Should the Purchaser fail to complete the purchase or tender any payment of the purchase price including the further deposit in the manner herein contained,the Vendor shall have the absolute right,by giving notice to the Purchaser,to determine and rescind this Agreement and the deposit paid hereunder shall be forfeited to the Vendor.The Purchaser agrees to waive and relinquish all its interests in the Property upon such determination or rescission.The Vendor shall then be entitled at its absolute discretion to sell the Property to anyone it thinks fit without prejudice to the Vendor's right to seek for an order for specific performance and/or damages.Upon the Vendor's exercise of its right to determine or rescind this Agreement,the Vendor shall be entitled to register in the Land Registry a notice of determination or rescission unilaterally signed by the Vendor to such effect.
12.如果買方未能按照本協定所載的方式完成購買或支付任何購買價款,包括進一步的定金,賣方有權通過通知買方來決定並撤銷本協定,並且根據本協定支付的定金將沒收給賣方。在賣方行使其決定或撤銷本協議的權利后,賣方有權在土地註冊處登記由賣方單方面簽署的決定或撤銷通知。

13.Should the Vendor fail to complete the sale in the manner herein contained,the Vendor shall immediately return to the Purchaser all initial deposit and(if applicable) further deposit paid hereunder and the payment of the same shall be treated as full and final settlement of the Purchaser's claim herein.

14.The parties hereto hereby agree and confirm that prior to the signing of the formal Sale and Purchase Agreement,this Agreement shall in all respects constitute a binding contract.

15.The Vendor appoints Messrs. as their solicitors and the Purchaser appoints Messrs. as their solicitors. Each party shall bear its own legal costs and expenses.

17.The Property is sold on an"as is"basis.The Vendor shall not be required to allow any inspection of the Property prior to completion and remove clear dispose of the chattels furniture rubbish on the Property on completion and the Purchaser shall at his own costs and expenses to dispose of the same after completion.The Purchaser hereby declares,admits and acknowledges that prior to the signing of this Agreement, the Purchaser has duly inspected all the state and condition of the Property and is duly satisfied with the following matters,namely:

18.No representation or warranty whatsoever is,or deemed to be,given by the Vendor on the state and condition of the Property or as to whether there is any unauthorised or illegal structures,alterations or structural defects existing in the Property or otherwise affecting the Property.

19.The Purchaser hereby further admits that it has been properly advised by its own solicitors,surveyors and other professionals prior to the signing of this Agreement and that the Purchaser agrees to:

a.waive and relinquish all its rights to raise any requisition on the state,condition and structure of the Property or any part thereof or whether such state,condition or structure is illegal,unauthorised or otherwise;and

b.purchase the Property subject to any illegality found in the state,condition or structure of the Property and notwithstanding the existence of the internal partitions in and alterations to the Property(if any)and the Purchaser shall not have any claim,remedy or right for damages,compensation or reduction of the purchase price against the Vendor in respect thereof in whatsoever manner.
b.購買物業時,須遵守物業的狀態、狀況或結構的任何違法行為,即使物業內部有隔板和改動(如有),買方無權以任何方式向賣方提出任何索賠、補救或權利要求損害賠償、賠償或降低購買價格。
