采购合同
Purchase Contracts

采购商： 上海维塔奇商贸有限责任公司     （以下简称甲方）
Buyer: Shanghai Vitaqi Trading Co., Ltd. (hereinafter referred to as Party A)

供应商： 东莞市沃美服饰辅料有限公司     （以下简称乙方）
Supplier: Dongguan Womei Garment Accessories Co., Ltd. (hereinafter referred to as Party B)

甲乙双方在平等自愿、诚实守信的基础上，经充分协商，达成一致，订立以下条款，供双方共同遵守。
On the basis of equality, voluntariness, honesty and trustworthiness, Party A and Party B have reached an agreement after full consultation and entered into the following terms for both parties to abide by.

甲方采购物品的型号、名称、规格、材质、单价、金额详见下表。
The model, name, specification, material, unit price and amount of the items purchased by Party A are detailed in the following table.

第二条：质量要求
Article 2: Quality requirements

乙方发出的货物必须为全新的产品，甲方不接受非全新商品。
The goods sent by Party B must be brand new products, and Party A does not accept non-brand new products.

第三条：包装要求
Article 3: Packaging requirements

该商品具有黑色透明拉链盒包装，甲方不接受其他款式的包装，包装由乙方负责完成。
The product is packaged in a black transparent zipper box, Party A does not accept other styles of packaging, and Party B is responsible for the packaging.

第四条：交货时间及地点
Article 4: Time and place of delivery

乙方负责送货到甲方指定仓库或地点，乙方不承担入仓相关费用。
Party B is responsible for delivering the goods to the warehouse or location designated by Party A, and Party B does not bear the relevant costs of warehousing.

第五条：运输费用及运输风险
Article 5: Transportation Costs and Risks

乙方负责运输，运输费用由乙方承担。运输过程中产生的风险由乙方承担。
Party B is responsible for transportation, and the transportation cost is borne by Party B. The risks arising during transportation shall be borne by Party B.

第六条：验收要求
Article 6: Acceptance requirements

甲方收到乙方货物后应及时进行验收，如发现有质量问题应及时通知乙方。因货品质量不符合要求，乙方需要在规定时间内予以退换，并承担运费。
Party A shall accept the goods in a timely manner after receiving Party B's goods, and notify Party B in time if there is a quality problem. Because the quality of the goods does not meet the requirements, Party B needs to return and exchange them within the specified time and bear the freight.

第七条：货款支付
Article 7: Payment of Goods

甲方在产品验收合格入库后＿日内支付货款。由乙方负责提供银行账号，甲方以汇款方式支付。甲方逾期支付的应承担违约责任。
Party A shall pay the payment within _ days after the product is accepted and put into storage. Party B is responsible for providing the bank account number, and Party A will pay by remittance. Party A shall be liable for breach of contract if the payment is overdue.

第八条:违约责任
Article 8: Liability for Breach of Contract

1、乙方若延迟交货或者货物不符合合同要求，甲方有权拒收。
1. If Party B delays delivery or the goods do not meet the requirements of the contract, Party A has the right to refuse to accept it.

5、甲方应按照合同约定的日期支付价款，否则需要承担相同期银行利息。
5. Party A shall pay the price according to the date agreed in the contract, otherwise it needs to bear the bank interest for the same period.

第九条：争议处理
Article 9: Dispute Resolution

本合同履行过程中双方遇到争议的应协商解决，若协商不成，提交甲方所在地人民法院裁决。
In the course of the performance of this contract, the two parties shall negotiate and settle the dispute, and if the negotiation fails, it shall be submitted to the people's court where Party A is located for adjudication.

第十条：其他
Article 10: Miscellaneous

1、本合同一式两份，甲方两份乙方一份，具有同等法律效力。
1. This contract shall be made in duplicate, with two copies of Party A and one copy of Party B, which shall have the same legal effect.

2、本合同自双方签字盖章之日起生效。
2. This contract shall come into force on the date of signature and seal of both parties.
