§ 1

(1) Way appoints Britzius as commercial European and North American agent for Business Development and Sales and Consulting, for all shock absorbers OEM business selling and development-products and -activities defined between the parties. Focus is on all EUROPEAN OEM’s like, as a non-exhaustive example, BMW-Group, Mer-cedes-Group, Volkswagen-Group, Renault-Nissan, Volvo-Group and Chinese OEM which will invest in the EUROPEAN or Northern-Africa-Area + cooperation and jointventures between Way and new companies / new locations.

(2) The commercial agency covers all the products manufactured at the present time and in the future by Way itself, which it means Cijan as well, or on behalf of Way and Cijan by third companies.

(1) Britzius assumes the obligation of endeavouring to broker/conclude sales transactions with potential customers on behalf of Way. In this connection Britzius is obliged to safeguard the interests of Way with the care of a conscientious businessman and make every effort to boost the business results. Britzius shall foster the business relations to the named customers of Way and systematically process these.

(2) Britzius shall only submit offers to customers in compliance with the directions and regulations given by Way. Orders are accepted if they have been confirmed in writing by Way or direct paid.

(3) Britzius shall provide Way with notifications on its activities on a weekly basis, and in particular, report to it on all occurrences of importance to the business relations, on each transaction brokered and each transaction concluded.

(4) Britzius undertakes to guard all business and company secrets of Way of which it gains knowledge and to store the documents relating to the commercial agency relationship in such a manner that they are not accessible to third parties. Britzius shall maintain secrecy on all knowledge acquired during the term of the contract, on business transactions and internal affairs, particularly confidential matters, even after the expiry of the contract.

(5) Britzius is not entitled to transfer the commercial agency to a third party without the approval of Way. However, it may use the services of auxiliary persons and appoint subagents to perform the commercial agency.

(6) Prior to the commencement of the term of this agreement, Britzius shall inform Way in writing of which other agencies Britzius has. During the term of the contractual relationship Britzius shall refrain from any competitive acts concerning Way in relation to the customers which are carried out without its express approval. Britzius may not thereby appear to customers as an agent, distributor or manufacturer of products which serve similar or identical purposes.

(7) Way shall be informed immediately if Britzius is prevented from performing its activities under the contract for longer than two weeks. Britzius must be informed in due time if the business establishment of Britzius is closed during a holiday period.

(1) Way shall make every effort to support Britzius in the performance of its activities and shall always provide it with the necessary information. This includes everything which is of material importance to the activities and to the claims for commission of Britzius (changes to products, prices or business conditions, particularly advertising measures, production changeovers, production difficulties or similar).

These documents remain the property of Way insofar as they have not been used up.

Way shall be immediately sent copies of the correspondence between Way and the customers to be processed by Way.

§ 4 Claim for commission

(1) Britzius receives commission for all business transacted during the contractual relationship between Way and the customers regardless of whether Britzius participated in the conclusion of the transaction or not.

For all business what Britzius will win Way is paying, at the production order confirmation, a as lump sum provision calculated as follow: 0.3 % 0.3 % 0.3%0.3 \% if passive shock absorbers, 0 , 5 % 0 , 5 % 0,5%0,5 \% if electronic shock absorbers of the defined price multiplied by the number of shock absorbers to be produced in the first 3 years from SOP.
