SERVICE AGREEMENT  服務協議

THIS SLRRICE AGREEMENT (the “Agreement”) is executed and become effective on the date of July $1^{\text{st}}2024$$1^{\text{st }}2024$1^("st ")20241^{\text {st }} 2024, by and between (1) Interhides Public Company Limited, a public company incorporated under the laws of Thailand, having registered address at no. 678 Soi T.J.C., Sukhumvit Road, Bangpoomai, Muang District, Samutprakarn Province, Thailand (“Interhides”); and (2) Peak Top International L.L.C., a private incorporated under the law of Anguilla having registered address at The Hallmark Building, Suite 227, Old Airport Road, The Valley, Anguilla, British West Indies (“Contractor”).

WHEREAS, Interhides owns certain wet blued pigskin hides (“Wet Blues”); and

WHEREAS, Interhides desires the Contractor to store and process certain Wet Blues into tinished sueded pigskin hides to be used in manufacturing footwear (“Finished Skins”) subject to the terms and conditions of this Agreement; and

WHEREAS, Interhides may (but is not obligated to) provide equipment owned by Interhides for use by the Contractor to manulacture Finished Skin (“Equipment”).

Accordingly, the parties agree as follows:

Contractor has any interest in the Inventory. The parties intend that the storage service under this Agreement is on the basis of bailment in all respects.

4 Storage. Upon delivery of the Inventory by Interhides to the Contractor, the Contractor shall receive and store the Inventory carefully and properly in professional manners and/or in accordance with the latest procedures, standards, and specifications agreed to by Interhides and the Contractor (if any) so as to protect the Inventory from destruction or other damage or loss.

5. No Liens or Encumbrances. The Contractor shall not cause or permit any lien, security interest or encumbrance in whatsoever form to be placed on the Inventory and shall not attempt to sell, assign or transfer the Inventory or permit the Inventory to be transferred by operation of law, except to Interhides or except as designated by Interhides in writing. The Contractor shall maintain the Inventory free and clear of mortgages, pledges, liens, charges, and other encumbrances and shall not use or permit the use of, or attempt to use or permit the use of, the Inventory as collateral or security for any debt or other liability of the Contractor or any other person. The Contractor shall promptly notify Interhides of any actual or threatened liens or other encumbrances against the Inventory.

6. No Right to Set-Off. The Contractor acknowledges and agrees that it shall not have and will not assert any right to set-off against any Inventory for any amounts owed by Interhides or its alfililiates to the Contractor or its aftiliates. In addition, the Contractor agrees not to retain or otherwise encumber any Inventory based on any amount Interhides or its affiliates may owe the Contractor or its attīliates.

7. Information and Access to the Contractor’s Property. The Contractor shall lirnish to Interhides all information regarding the Inventory that Interhides may from time to time reasonably request and the Contractor shall permit Interhides to send Interhides’s representatives onto the C’ontractor’s premises during reasonable business hours to inspect and/or take possession of the Inventery.
7.7. Information and Access to the Contractor's Property.Contractor shall lirnish to Interhides all information regarding the Inventory that Interhides may from time to time reasonably request and the Contractor shall permit Interhides to send Interhides's representatives onto the C'ontractor's premises during reasonable business hours to inspect and/or take possession of the Inventery.
8 Expenses, Taxes, and Other Obligations. The Contractor, from and after the time the Contractor gain possession of the Inventory, shall pay all expenses incident to storage, maintenance and use of the Inventory while in the Contractor’s possession. The Contractor shall pay, before they become delinquent, all taxes and assessments upon the Inventory and pay and perform when due all indebtedness and obligations under all leases, land contracts or other agreements with respect to the real property on which the Contractor has possession right where the Inventory is located and stored at any time and under any mortgage or mortgages that at any time cover that real property.

9. Risk of Loss and Insurance. All risks of fire, theft, or any damage to the Inventory shall be assumed by the Contractor and the Contractor shall keep the Inventory fully insured at the Contractor’s expense under a policy of fire and extended coverage insurance in an amount and with an insurer acceptable to Interhides. If allowed by law, any such policy shall show Interhides as the owner of the Inventory. If possible, the Contractor will maintain insurance policies that provide for direct reimbursement to Interhides with respect to any claims relating to the Inventory. If this is not possible, the Contractor agrees to immediately reimburse Interhides for any payment that it receives on claims relating to the Inventory. The Contractor also slall procure liability insurance with no less than $\mathrm{\$}1,000,000$$\mathrm{\$}1,000,000$$1,000,000\$ 1,000,000 combined single limit coverage covering damage to persons or property resulting from the use of the lnventory with insurers acceptable to Interhides, and naming Interhides as an additional insured. The Contractor

shall pay fees for worker’s compensation as required by applicable government regulation. Nothing in this Agreement shall prohibit the Contractor from insuring the Inventory under blanket policies of insurance for the value of the Inventory. The Contractor agrees to deliver certificates of such insurance to Interhides at the beginning of the term of this Agreement and thereafter, for renewal of relevant insurance policy, not less than 30 days prior to the expiration or material modification of any such policy. The Contractor shall not permit such insurance to lapse absent ten (10) days advance written notice to Interhides.

10. Indemnification. The Contractor agrees to fully release and to indemnify Interhides and hold Interhides harmless from and against any and all damage, loss, theft, shrinkage, liability, or expense (including court costs and reasonable attorneys’ fees) arising, in whole or in part, directly or indireclly, out of or in any way related to the Inventory while it is in the Contractor’s possession or cont(o) unless and to the extent such loss or liability is due to the acts or omissions of Interhides, its agents or its independent contractors other than the Contractor. The Contractor’s obligation to indemnify Interhides shall survive the termination of this Agreement. Interhides will give the Contractor notice of any suits or actions instituted against Interhides which would be covered by this indemnity provision and the Contractor shall, unless otherwise notified by Interhides, assume the defense or prosecution of any such suit or action to the extent permitted by law. In this regard, Inerthides may employ counsel and participate in any suit or action.

Without limiting the Contractor’s ability to collect all contract amounts due for services remercal, in no event shall Interhides or the Contractor be liable for any consequential damages, indirect damages, or losi profits incurred by the other party hereto or by third parties under this $\mathrm{\Lambda }$$\mathrm{\Lambda }$Lambda\Lambda greement or under any other agrecment referenced in this Agreement; provided that Interhides may seek and recover consequential damages, indirect damages and lost prolits for any breach by the Contractor of Section 11 or 12 of the Agreement.

11. Confidentiality. The Contractor agrees to maintain all Conlidential Information in conlidence and agrees not to use the Confidential Information for any purpose other than performing services for Interhides. “Confidential Information” includes any information in relation to Interhides’s business and services under this Agreement including but not limited to information concerning Interhides’s technology and know how, production and manufacturing techniques, properties, intellectual property, procedures, research, ideas, inventions, concepts, trade secrets, operations, strategies, marketing, sales, sources, costs, margins, pricing, designs, formulas, ingredients, additives, customers, vendors, suppliers, personnel data, products, services, programs, plans, prospects and financial condition and lorecasts, regardless of whether such information is provided by Interhides, its affiliates, directors, ollicers, employees, advisors, lenders, investors, contractors (other than the Contractor) or other agents or is obtained by the Contractor from previous business partner of Interhides (namely Wolverine Worldwide Leather Inc. and/or its affiliate) and regardless of whether it is provided to or obtained by the Contractor before or after the date of this Agreement. The obligations of this Section shall not apply to any information that: (a) is already disclosed through public use or in printed publications; (b) after disclosure becomes disclosed through public use or in printed publications through no fault of the Contractor; © the Contractor can show by written documents was in its possession, without any breach of this conlidentiality provision, at the time of disclosure by Interhides; (d) is required by a court or other government entity to be disclosed by law or legal process (to the extent recpuired to comply with an order of the court or other government entity) (e) is disclosed to the Contractor by a third party other than in contravention of the rights of Interhides; or ( $f$$f$ff ) is independently derived by the Contractor, as evidenced by contemporaneous written documentation, without reference to the Confidential Information.

12. Non-Competition. Except in performing services on behalf of Interhides, during the effectiveness of this Agreement and for [two years] after the date of termination of this Agreement for whatsoever reason, the Contractor shall not directly or indirectly (through any affiliate, employee, representative, agent, entity that is controlling, controlled by or under common control with the Contractor, or otherwise) engage in, or assist or advise or appoint any third party in engaging in, buying, selling, processing or finishing wet blue pigskin hides or pigskin leather at any stage of the wet blue or tanning process. The obligations of this Section 12 are in addition to and do not reduce the Contractor’s obligations under Section II of this Agreement.

13. Term and Termination. This Agreement shall be effective as of the date written above and shall remain in effect until terminated under this provision. Interhides may terminate this Agreement if the Contractor commits a material breach of this Agreement or the Service Order Terms and Conditions, which breach, if curable, is not cured within fifteen days of written notice thereof from Interhides, or in any case upon not less than thirty days written notice by Interhides to the Contractor. This Agreement may also terminated by either party upon serving ninety ( 90 ) days advance written notice to the other party. Upon termination of this Agreement, the Contractor shall immediately return any Inventory in its possession to Interhides, or to such third party as Interhides shall direct the Contractor in writing. The termination of this Agreement shall not effect or release either parties from liability or obligation that occurred on or before the termination. For avoidance of doubt, nothing in this Section shall reduce the Contractor’s obligation to return Inventory, as provided in Section 2.

14. No Authority to Act for Interhides. Nothing in this Agreement shall authorize or empower the Contractor to assume or create any obligation or responsibility whatsoever, express or implied, on behalf of, or in the name of, Interhides or to make any representations, warranties, or commitments on behalf of Interhides.

15. Successors and Assigns. This Agreement shall be binding upon and inure to the benelit of the parties and their respective successors and assigns. This Agreement shall not be assigned without the prior written consent of Interhides.

16. Notices. All notices, approvals, authorizations, and consents required to be given or obtained under this Agreement shall be in writing and delivered personally or by certified mail, return receipt requested, to the other party at the following address:

Lither party may change the party’s address by prior written notice to the other party.

17. Severability. Any provision or term of this Agreement which shall be found to be

contrary to applicable law or otherwise unenforceable shall be incffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions of this Agreement.

18. Governing Law. This Agreement shall be governed by the laws of Singapore. The Parties agrec llat any claims, disputes and controversies under this Agreement shall be brought to and resolved under the rules of Thai Arbitration Centre (“TIIAC”), having the language of proceeding in English and the venue of proceceding in Thailand.
18.管轄法律。本協議受新加坡法律管轄。雙方同意，本協議項下的任何索賠、爭議和爭端均應提交泰國仲裁中心（"TIIAC"）並根據其規則解決，仲裁語言為英語，仲裁地點為泰國。
19. Injunction. Notwithstanding Section 18, Interhides will at all times retain the right to seck injunctive relief, or any other equitable or judicial remedy in any court of competent jurisdiction lor any actual or threatened breach of this Agreement by the Contractor.

21. Amendment. This Agreement may not be amended orally, but only by written agreement signed by both Parties.

21. Compliance with Laws. The Contractor will comply with all Iabor law obligations and other legal requirements applicable to the Contractor and will comply with all applicable laws, rules and regulations to which the Contractor is subject in relevant jurisdiction. The Contractor further represents, warrants, and agrees that it has not and will not, obtain or retain business or business upportunities, directly or indirectly facilitated or facilitate the offer of, payment of, or promise to pay, any moncy or other thing of value to: (i) any governmental officer, agent, or employee; (ii) any political party or official thereof or candidate for political office; or (iii) any other person or entity, while knowing that all or a portion of such money or thing of value would be offered, given, or promised, directly or indirectly, to any person or organization described in (i) or (ii) above (the persons, organizations, and entities described in (i), (ii), and (iii) each a “Prohibited Person”). The Contractor represents and warrants that neither it, nor any of its directors, shareholders, members, managers, officers, employees, or agents is a Prohibited Person as of the date of this Agreement.

22. Compliance with Interhides’s Production Code of Conduct. The Contractor agrees to conduct its business in a manner consistent with Interhides’s “Production Code of Conduct”, a copy of which is attached as Exhibit B to this Agreement.

IN WITNESS WHEREOF, Interhides and the Contractor have executed this Service Agrement as of the date first written above.

These Service (Order Jerms and C’onditions establish the terms and conditions upon which [NAME (OF IHE CONTRACTOR] (the “Contractor”) will, at the reguest of INTERHIDE:S PIBLIC COMPANY LIMITED (“Interhades”), process Wet llues into Finished Skins. Interhides does int agree to and rejeets any terns that are printed on or contained in an invoice or other document provided by the Contractor that are additional lo or difterent from the provisions under this Service Order Terms and Conditions. Any definition detined and capitalized under the Service Agreement shall have the same meaning when refer to and capitalized in this Service (Order lerms and Conditions, unless otherwise expressly specilied hereunder. 1

1 Interhdes uwins and retains tite to the Inventory at all times. The Contractor never takes title to the Inventory and has no security interest or wher interest or rights in the lnventory. During the effectiveness of the Agreement, the Contractur shatl deliver the Finished Skins to Interhides imdur luterhides’ customers, on behalt of Interhides, as per orders made by Interhides. In certain cases, the contractor must promptly comply with any request by Interhides to return some or all of the Inventory then in the Contractor’s possession. The Contractor is responsible for providing services and for safeguarding the Inventory in the Contractor’s possession, as described below.

2 literhides will pay the Contractor an agreed upon fee per square foon firm Wet Blues properly processed and finished by the Contractor into Procesised Hides (the “Fees”). Chemical consumption based on actual consumption will he billed separately, at cost, but simultaneously to reler to the same producton, and supported by documentation reasonably acceptable to literhides (“Chemical Consumption Cost”). Chemical (ionsumption Ciost shall be based on (a) mutually approved iormula, (b) approved chemical supplier price list, or, if lower, actual prices charged alter any discounts, rebates or price reductions, © standard clearance and local transportation costs, and (d) ineremented by $2\mathrm{\%}$$2\mathrm{\%}$2%2 \% for spillage and obsolescence. The Contractor will not bill, and will not be paid for, the processing and linishing (ineluding Chemical Constumption Cost) of mon-conforming finished Shins resulting from a lack of control or poor workmanship by the Contractor. Overtime must be on a voluntary basis and shall not be demanded on a regular basis and shall be compensated at a premium rate as required by local laws.
