This Addendum (“Addendum”) to the Google Play Developer Distribution Agreement currently available at https://play.google.com/about/developer-distribution-agreement.html, as it may be updated from time to time by Google or available at any successor URLs (the “DDA”) is effective as of the last date signed by the parties (“Effective Date”) and is entered into between HK KURO GAMES LIMITED, a company organized in Hongkong, whose principal place of business is at RM1003, 10/F TOWER 1 LIPPO, CTR 89 QUEENSWAY ADMIRALTY, HONGKONG  (“Developer”), on the one hand, and Google Asia Pacific Pte Limited, a company organized in Singapore, whose principal place of business is at 70 Pasir Panjang Road, #03-71, Mapletree Business City, Singapore 117371 (“GAP); Google LLC, a company organized in Delaware, USA, whose principal place of business is at 1600 Amphitheatre Parkway, Mountain View, CA 94043, USA (“GLLC”); Google Commerce Limited, a company organized in Ireland, whose principal place of business is at Gordon House, Barrow Street, Dublin 4, Ireland (“GCL”); and Google Ireland Limited, a company organized in Ireland, whose principal place of business is at Gordon House, Barrow Street, Dublin 4, Ireland (“GIL”), on the other hand. In this Addendum, “Google” will mean GAP, GCL, GLLC, and/or GIL, as the context requires.

Background

The parties have previously entered into an Addendum to the Google Play Developer Distribution Agreement (for Participating Games) dated May 14, 2024 (the “Prior Addendum”).

The parties now desire to enter into this Addendum and terminate the Prior Addendum.

Nothing herein will be deemed to (a) release Developer from any liabilities, obligations or duties incurred prior to such termination or (b) constitute a waiver of any of Google’s rights under the Prior Addendum. For purposes of clarification, any provisions of the Prior Addendum that by their nature are intended to survive, will survive termination.

AGREEMENT

Definitions. Capitalized terms used but not defined herein have the meanings set forth in the DDA.

“Business Day” means any day except a Saturday or Sunday or a legal holiday on which banking institutions are authorized or required by law to remain closed.

“Confidential Information” means information disclosed by one party (or its affiliates) to the other party (or its affiliates) under this Addendum that is marked as confidential or would normally be considered confidential information under the circumstances. Confidential Information does not include information that becomes public through no fault of the recipient, that is independently developed by the recipient, or that is rightfully given to the recipient by a third party without confidentiality obligations.

“Google Play Games” means a PC application that enables users to browse, download, and play select mobile games on a Windows desktop or laptop, available at https://developer.android.com/games/playgames/

“Google Play Games Windows SDK” means a software development kit that enables integration with Google services.

“Hotfix” means any code-only changes to the binary code for any Participating Game that (a) are considered urgent, (b) are not a material change to gameplay, monetization or user experience, and (c) comply with the DDA, in the case of each of (a), (b), and (c) as mutually determined by Developer and Google.

Launchermeans the Developer’s lobby experience associated with a Participating Game.

Participating Games mean, as of the Effective Date, the following titles and versions of Participating Android Games that are offered via Google Play Games in the applicable Territories as a mobile game playable on a Windows-compatible computer: At any time during the Term, any modifications to the list of Participating Games may be made only by mutual written agreement of the parties.

For clarity, Participating Android Game Consumer Spend will consist of in-game purchases of the applicable Participating Android Game as well as any initial purchases to download it.

For clarity, "Participating Game Consumer Spend” will be the aggregate value of valid payment transactions by consumers through the web version of Google Play and/or Google Play Games associated with a Participating Game, less any applicable Taxes ,, refunds and reversals or certain promotions.

“Renewal Term” has the meaning set forth in Section 7.1.

“Territory” or “Territories” means, as of the Effective Date, the following subset of countries or territories listed here. Any countries or territories may be added to or removed from this list at any time during the Term.

Requirements for Participating Games and Launcher

During the Term, Developer must meet the following requirements in connection with each Participating Game and any associated Launcher:

be in compliance with the DDA. For purposes of this Addendum, any reference to “application” or “app” in the DDA and DDA Policies will be amended to read as a reference to “application or Windows file, as applicable” or “app or Windows file, as applicable,” respectively, in connection with the Participating Games. Google will have final discretion over how to interpret the DDA and its application in the context of Participating Games;

integrate and maintain the key mobile SDKs (software development kits) (“Mobile SDK Integrations”). As of the Effective Date, the Mobile SDK Integrations will consist of the following: (a) the Latest Billing Library, (b) Voided Purchases API, and (c) Karaganda IDs. The list of Mobile SDK Integrations will be reviewed by the parties each Renewal Term during the Term and may be modified only by mutual agreement of the parties in writing. Developer will implement any changes to the list of Mobile SDK Integrations within 90 days of the parties’ written agreement for such changes;

integrate and maintain the Google Play Games Windows SDK within 180 days of Google making it available to Developer;

only offer a Participating Game using Google’s authentication APIs;

provide the Participating Games’s associated binary code to Google. All binary code provided by Developer to Google under this Addendum for a Participating Game and Launcher must comply with the following:

only enable installation of such Participating Game and Launcher, and no other product or service;

ensure that any updates to the binary code provided by Developer will be made as follows:

updates to the binary code for the Launcher distributed through Google Play will only be made through Google Play. However, updates to the binary code for the Launcher distributed through Google Play and any versions of the Launcher distributed outside of Google Play must be consistent,

in addition to any checks Developer performs in connection with its representations under Section 5.2(f), Developer will permit Google to perform additional anti-virus, security, and policy checks prior to launch of a Participating Game in Google Play. In the process of scanning executable code for malicious code, Google may provide the executable code to first- and third-party antivirus services for further evaluation and diagnostics;

will work together in good faith with Google to improve the user experience, which may involve collaborating on bug fixes or implementing the latest Google Play platform features as they become available; and

will ensure that any purchasable content available in a Participating Game is treated in a manner consistent with any purchasable content available in any Participating Android Game. Hotfixes.

Google will provide Developer with processes, in writing, for submitting updates to the binary code for any Participating Game that is available in Google Play for (i) general updates that are not Hotfixes and (ii) Hotfixes. For updates that are not Hotfixes, Google will use commercially reasonable efforts to review updates to the binary code provided by Developer within two Business Days of receipt. For Hotfixes, Google will use commercially reasonable efforts to accelerate the process and timing for review, provided that (A) Developer may not use the Hotfix process more than three times in any calendar quarter during the Term for each Participating Game unless otherwise approved by Google in writing, and (B) there may be periods of time during the Term when the Hotfix process is not available (which will be communicated at least three weeks in advance by Google to Developer).

Billing

Developer agrees that each of its Participating Games and Participating Android Games will integrate and use the Google Play billing system, as further described on https://developer.android.com/distribute/play-billing

4.2Developer will implement the latest Play Billing Library for each of its Participating Games and Participating Android Games, as further described on https://developer.android.com/google/play/billing/billing_library_overview. As and when the Play Billing Library is updated during the Term, Developer will implement such updated version within 90 days of being made generally available to developers.

4.4In those cases where an Alternative Billing System is supported when made available alongside the Google Play billing system under applicable published terms and conditions, the Google Play billing system will be a payment method (and not be required to be the sole payment method) made available to users.

4.5In those cases where an Alternative Billing System is supported without the Google Play billing system under applicable published terms and conditions, the Google Play billing system will not be required to be a payment method, so long as such Developer makes the Alternative Billing System available to users across Devices.

Parity

Developer must at all times maintain parity in core content, features and functionality between the Windows-executable and Android versions of each Participating Game available in Google Play (i.e., between each Participating Game and Participating Android Game).

Covenants. Developer covenants as follows:

Developer is, and at all times during the Term will be, in compliance with all applicable laws, rules and regulations in connection with each Participating Game;

Developer will obtain all applicable regulatory and other approvals in connection with each Participating Game prior to its launch and will at all times during the Term maintain all applicable regulatory and other approvals; and

If Developer receives any communications from any regulatory or other authorities in connection with any Participating Game, Developer will promptly notify Google in writing of the same. Notice to Google will include any communication about whether a Participating Game is considered compliant or not compliant under applicable law, rule or regulation.

Term and Termination

Term. This Addendum will become effective on the Effective Date and will continue in effect until December 31, 2024 (“Initial Term”). Thereafter, it will renew for automatic twelve-month renewal periods (each, a “Renewal Term”), provided that if either party desires not to renew this Addendum, it will provide the other party 30 days written notice prior to the end of the Initial Term or then-applicable Renewal Term. The Initial Term and all Renewal Terms (as applicable) will be collectively referred to as the “Term.”

Termination

Effect of Termination

Upon termination or expiration of this Addendum:

the parties will work together to announce that all Participating Games will no longer be available in the web version of Google Play;

Developer will immediately cease use of Google Play billing system and all other APIs under this Addendum for each Participating Game and any associated Launchers, and will disallow any update to all Participating Games and Launchers available in Google Play except for a single update that will be allowed, with Google’s approval, to prevent further game play or promotion and announce termination of game support by Google; and

For the sake of clarity, no other updates or communications will be permitted without Google’s prior written approval.

Survival. Sections 1 (Definitions), 6 (Representations, Warranties & Covenants), 10 (Confidentiality; Publicity), and 11 (General Provisions) will survive the expiration or termination of this Addendum, and any other clauses, which under their terms or by implication ought to survive, and any accrued liabilities, will survive expiration or termination of this Agreement.

Taxes

In addition to all other Tax provisions in the DDA, the following will apply to this Addendum:

Transaction Taxes. For services provided from the United States, or India, Taxes are not included in the payments and will be separately itemized on Developer’s invoices if applicable. Otherwise, Taxes are included in the payments from Google to Developer. Developer is responsible for charging and paying any Transaction Taxes required to be charged by any governmental tax authority in connection with any payment made by Google to Developer under this Agreement. Google will pay correctly-invoiced Taxes, if applicable, unless Google provides a valid Tax exemption certificate. Any [services] provided from India to an entity outside of India are exports that are not subject to Taxes.

Withholding Taxes. If Google is required under applicable law to withhold Taxes from its payments to Developer and remit such Taxes to any governmental taxing authority, then Google will pay to Developer the remaining net amount after such Taxes have been withheld. Developer agrees to timely provide, as soon as reasonably practicable, any tax documentation or certification requested by Google, including IRS Forms W-8 or W-9. Developer hereby certifies that any services that it is deemed to perform pursuant to this Addendum are not performed in the United States or Singapore and furthermore agrees to provide written notification to Google at least 90 days prior to any such services being performed in the United States or Singapore.

Reporting. Developer will be able to access reports within the Play Console; provided that non-purchase data may not be represented with complete accuracy and the ability to filter Participating Games’-only data may not be available.

Confidentiality; Publicity

Confidentiality Obligations. The recipient will not disclose the discloser’s Confidential Information, except to affiliates, employees, agents, or professional advisors (“Delegates”) who need to know it and who have agreed in writing to keep it confidential. The recipient may disclose Confidential Information when legally compelled by a court or other government authority. To the extent permitted by law, recipient will promptly provide the discloser with sufficient notice of all available details of the legal requirement and reasonably cooperate with the discloser’s efforts to challenge the disclosure, seek an appropriate protective order, or pursue such other legal action, as the discloser may deem appropriate.

Raising Issues with Public Authorities. Nothing in this Addendum prevents any party from raising issues of non-compliance with the law with any relevant public authority. To the extent this Section 10.2 conflicts with any other part of this Addendum, this Section 10.2 will govern.

No Publicity. Neither party may make any public statement regarding this Addendum without the other’s written approval.

Independent Development. Each party acknowledges that the recipient of Confidential Information may now or in the future be developing proprietary information internally or receiving proprietary information from third parties in confidence that may be similar to the disclosed Confidential Information. Nothing in this Addendum will be construed as a representation or inference that the recipient will not develop or purchase products or services, for itself or others, that compete with the products or systems contemplated by the received Confidential Information, so long as the recipient does not do so in breach of this Addendum

Each party is free to use for any purpose any Residuals (defined below) acquired from the other party in connection with this Addendum if that use does not result in a disclosure of the other party’s Confidential Information. “Residuals” means information (including ideas, concepts, know-how, and techniques) in intangible form that an individual retains in unaided memory, without having used notes or other aids to intentionally memorize that information.

General Provisions

The terms of this Addendum are Confidential Information and may not be disclosed, except to employees, affiliates, agents, or professional advisors who need to know it and who have a legal obligation to keep it confidential. Neither party may make any public statement regarding this Addendum without the other’s written approval.

All legal notices must be in English, in writing (which may be by email), and addressed to the other party’s primary contact, which for Google is legal-notices@google.com. This Addendum and the DDA states all terms agreed between the parties and supersedes all other agreements between the parties relating to its subject matter. The DDA remains in full force and effect. Where there is a conflict between the terms of this Addendum and the DDA, the terms of this Addendum apply.

For each calendar quarter from July 1, 2024 (“Earnback Eligibility Start Date”) to the date of expiration or termination of this Addendum, Developer will be eligible to earn back 3% of Participating Game Consumer Spend for each Participating Game, subject to Section IV (Earnback Limits) provided that, at all times from the Earnback Eligibility Start Date until the expiration or termination of this Addendum, Developer meets all requirements set forth in Section 2 (Requirements for Participation Games and Launcher), Section 3 (Hotfixes) Section 4 (Billing), and Section 5 (Parity), (collectively, the “Tech and Policy Earnback Requirements”).

(i)When calculating the Tech and Policy Earnback, the Participating Game Consumer Spend for each Participating Game will be calculated by Google.

II.Participating Game Performance Earnback

For each calendar quarter, provided Developer has met the Tech and Policy Requirements and the applicable DSR, such Developer will be eligible to earn back a certain percentage of Participating Game Consumer Spend for each Participating Game, subject to Section IV (Earnback Limit) and as set forth in the table below.
